FoundUp Terms of Service

Last updated: September 29, 2026

These Terms of Service ("Terms") are a legally binding agreement between you and LIGHTHUNTER PTE. LTD., doing business as FoundUp ("FoundUp," "we," "our," or "us"). These Terms govern your access to and use of our website, communications, agreed website, content, GEO audit and AI visibility monitoring services, AI-assisted features, and related products and services (collectively, the "Services").

These Terms include rules for using the public FoundUp website and service-specific provisions for customers. Merely browsing the website or submitting an enquiry does not create a paid project or customer relationship. Service-specific provisions apply when you accept a proposal, statement of work, order, or other written agreement that incorporates these Terms, expressly confirm acceptance, or pay an invoice after receiving these Terms. Our Privacy Policy explains how we handle personal information.

The enquiry form submits your details to FoundUp so we can review and respond to your request. Submitting an enquiry does not create a paid project or guarantee acceptance. A project begins only when FoundUp confirms acceptance and the parties agree to the applicable scope, price, timing, and any additional written terms.

Additional terms or policies may apply to a particular project, feature, promotion, integration, or transaction. If additional written terms conflict with these Terms, those additional terms control for that matter to the extent of the conflict.

1. Eligibility and Authority

You must have the legal capacity to enter into these Terms and must be at least the age of majority where you live. The Services are intended for businesses and people acting with authority for a business.

If you use the Services for a company, agency, partnership, sole proprietorship, or other organization, you represent that you have authority to bind that organization. In that case, "you" includes both you and the organization.

You may not use the Services if we previously suspended or terminated your access, unless we give you written permission, or if applicable law prohibits your use.

2. Information, Communications, and Security

You agree to:

  • provide accurate, complete, current, and authorized information;
  • identify the people authorized to approve content, scope, expenses, and publication decisions for your business;
  • keep credentials, verification codes, shared links, and access details confidential;
  • promptly update information that affects your website, project, billing, security, or legal compliance; and
  • notify us at info@getfoundup.ai if you suspect unauthorized access, misuse, or an incorrect publication.

You are responsible for activity carried out using credentials or access that you provide, to the extent permitted by law. You must not give us credentials you are not authorized to share. We may require identity, authority, business, billing, domain, or account verification before performing sensitive actions.

3. What FoundUp Provides

FoundUp provides scoped website work, Generative Engine Optimization (GEO) audits, content and agreed AI visibility monitoring for small service businesses. Depending on the agreed project, the Services may include:

  • reviewing existing business materials and publicly available business information;
  • auditing agreed pages and observing a defined set of AI questions, platforms, markets and reporting periods;
  • organizing services, locations, contact details, opening hours, questions and answers, and other customer-facing information;
  • drafting website copy and page structures;
  • designing, building, publishing, hosting, or maintaining a website;
  • adding technical foundations that help people, search engines, and AI systems understand website content;
  • connecting agreed domains, analytics, forms, booking tools, maps, social profiles, or other third-party services;
  • making agreed updates after launch; and
  • providing AI-assisted content, structure, and maintenance suggestions.

The specific deliverables, revision process, dependencies, price, timing, hosting arrangements, and ongoing support are determined by the applicable proposal, statement of work, order, or other written agreement.

Features described as pilot, beta, preview, experimental, waitlisted, or similar may change, may be limited, and may not be generally available.

4. Our Relationship With Customers

FoundUp provides website-related professional and technical Services. We are an independent contractor and are not your employee, agent, partner, joint venturer, franchisee, legal adviser, tax adviser, or marketing department unless a separate written agreement expressly states otherwise.

You remain responsible for your business, products, services, operations, customer relationships, and decisions. You are responsible for:

  • the accuracy and legality of business information, claims, prices, qualifications, licenses, testimonials, photographs, and other content you approve;
  • having the rights and permissions needed for all content, domains, brands, accounts, and materials you provide;
  • reviewing drafts and providing timely, consolidated feedback and approvals;
  • fulfilling the services, bookings, enquiries, offers, and commitments described on your website;
  • providing legally required notices and disclosures for your business and jurisdiction;
  • handling customer information lawfully; and
  • complying with consumer-protection, advertising, accessibility, privacy, intellectual-property, professional, and other applicable laws.

We may flag possible issues, but we do not guarantee that a website or its content satisfies every law, professional rule, platform policy, or industry requirement that applies to your business.

5. Project-Specific Terms

5.1 Pilots and Discovery

A pilot, discovery conversation, assessment, estimate, prototype, or draft does not guarantee acceptance, availability, pricing, a launch date, or a particular result. Unless stated otherwise in writing, either party may decide not to proceed before a project is accepted.

Early concepts, examples, mockups, and demonstrations may use illustrative businesses or information and may not represent a live website, search result, recommendation, or customer outcome.

5.2 Website Design and Build

The agreed scope determines the pages, content, design, functionality, integrations, revisions, and launch requirements included in a project. Requests outside that scope may require a separate estimate, change order, revised schedule, or additional fee.

You must review deliverables and report material errors within the review period stated in the applicable agreement. Approval authorizes us to proceed to the next stage or publish the approved work. Delays in content, access, feedback, approvals, or third-party decisions may delay delivery.

5.3 Hosting, Domains, and Managed Updates

Hosting, domain registration, DNS, email, analytics, forms, and other operational services are included only when expressly agreed. Third-party fees, renewal dates, limits, and terms may apply. You are responsible for maintaining ownership and payment of customer-controlled accounts unless the applicable agreement states otherwise.

Managed updates cover only the type and volume of work agreed for the applicable service period. Major redesigns, new functionality, migrations, integrations, urgent work, regulatory changes, or unusually large content changes may require additional scope and fees.

5.4 Search and AI Visibility

FoundUp may improve the clarity, accessibility, technical structure, and discoverability of a website. Search engines, AI services, directories, browsers, and other platforms independently decide whether and how to crawl, index, rank, quote, summarize, or recommend content.

We do not guarantee rankings, traffic, leads, sales, inclusion in a search index, appearance in an AI-generated answer, or any particular commercial result. Examples and previews are illustrations unless expressly identified as verified results.

6. Proposals, Pricing, Payments, and Refunds

Pricing, currency, taxes, deposits, billing intervals, payment milestones, included revisions, third-party costs, and any recurring fees will be stated before you agree to a paid project. Quotes may expire or change before acceptance.

The current public website does not collect payment-card or bank-account credentials. If you pay an invoice, you represent that you are authorized to use the selected payment method. If we later offer a payment processor or online checkout, its terms and an updated notice may also apply.

Unless mandatory law or the applicable agreement provides otherwise, fees for completed work, accepted deliverables, committed third-party costs, and time already spent are non-refundable. Any cancellation, pause, rescheduling, late-payment, or refund terms in an accepted proposal or statement of work also apply.

We may pause work, publication, hosting, or managed updates when an invoice is overdue, required information is missing, or continuing would create a legal, security, or operational risk. You remain responsible for undisputed amounts owed for work performed and authorized costs incurred.

7. Customer Responsibilities and Cooperation

You agree to provide the materials, access, decisions, and cooperation reasonably needed to deliver the Services. This may include domain or hosting access, current business details, brand assets, service information, contact details, photographs, legal notices, and approvals.

You must promptly tell us when published information is inaccurate, outdated, misleading, unlawful, or no longer authorized. You are responsible for maintaining your own copies of important business materials and for any operational process needed to respond to enquiries or fulfill services promoted on the website.

If your delay materially affects the project, we may revise the schedule, reallocate availability, charge an agreed restart or additional-work fee, or close the project after reasonable notice.

8. Customer Content and Licenses

"Customer Content" means content that you submit, upload, approve, publish, send, or make available for the Services, including business information, copy, logos, trademarks, photographs, video, audio, documents, testimonials, reviews, links, credentials, data, and AI inputs or outputs selected for use.

You retain ownership of your Customer Content. You grant FoundUp a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, format, edit, adapt, transmit, display, distribute, and otherwise process Customer Content only as reasonably necessary to:

  • perform, secure, support, and improve the Services;
  • draft, build, publish, host, and update the website you approve;
  • create responsive formats, previews, backups, and accessibility features;
  • provide requested AI-assisted features;
  • work with service providers and third-party tools used for the project; and
  • comply with law and enforce these Terms.

This license lasts for as long as necessary to provide the relevant Services and then for a reasonable period for backups, legal compliance, disputes, and the purposes described in our Privacy Policy. Public content copied, cached, indexed, or shared by others may remain outside our control after removal.

You represent that you own or have all rights necessary for Customer Content and that our permitted use of it will not violate any law, agreement, confidentiality obligation, privacy right, publicity right, intellectual-property right, or other third-party right.

9. AI-Assisted Features

The Services may use artificial intelligence to analyze authorized information and generate suggestions for business descriptions, website structures, page content, frequently asked questions, metadata, and other materials.

AI output may be inaccurate, incomplete, unsuitable, outdated, or similar to content generated for others. You must review output before approving, using, or publishing it and remain responsible for your business information, claims, decisions, and Customer Content. FoundUp does not guarantee that AI output is unique, correct, non-infringing, or fit for a particular purpose.

You may not use AI-assisted features to generate or distribute unlawful, deceptive, infringing, harmful, or prohibited content; make decisions about another person where prohibited by law; or misrepresent AI output as verified professional advice.

Our Privacy Policy explains how AI inputs and outputs may be processed.

10. Acceptable Use

You may not use the Services to:

  • violate law, sanctions, platform rules, contractual duties, or third-party rights;
  • publish or promote illegal, stolen, counterfeit, infringing, deceptive, dangerous, or prohibited products, services, or content;
  • exploit, sexualize, endanger, or facilitate harm to children or young people;
  • threaten, harass, stalk, defame, discriminate against, or incite violence toward another person;
  • publish non-consensual intimate content or unlawfully invade privacy or publicity rights;
  • impersonate another person or organization, misrepresent affiliation, manipulate reviews or metrics, or make false commercial claims;
  • send spam, phishing, malware, or unauthorized advertising;
  • commit fraud, launder money, evade taxes, or abuse payments, promotions, forms, analytics, or third-party integrations;
  • collect, publish, scrape, or use personal information without authorization or a lawful basis;
  • gain unauthorized access to accounts, systems, credentials, data, or security controls;
  • interfere with the operation, availability, or integrity of the Services;
  • reverse engineer, decompile, or attempt to extract source code, models, prompts, or non-public data, except where law expressly permits it;
  • use automated means to access non-public Services except through an interface or API we authorize; or
  • help another person do any of the above.

Public crawling permitted by our published robots.txt policy is not prohibited by the automated-access restriction above. That policy does not authorize access to private systems or personal information.

We may investigate suspected violations and cooperate with service providers, platform partners, rights holders, and authorities where appropriate.

11. Intellectual Property

The Services—including our software, processes, interfaces, designs, templates, tools, documentation, trademarks, and materials provided by FoundUp—are owned by FoundUp or its licensors and are protected by intellectual-property laws. Except for the rights expressly granted in an applicable agreement, no rights are granted to you.

"FoundUp" and associated names, logos, and branding may not be used without our prior written permission. Third-party names and trademarks belong to their respective owners.

Ownership and permitted use of final website deliverables, project files, licensed components, open-source materials, third-party assets, and reusable tools will be determined by the applicable proposal or statement of work. Unless stated otherwise, we retain ownership of pre-existing materials, general knowledge, processes, reusable code, templates, and tools, while granting the customer the agreed rights to use delivered work.

If you provide feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided we do not publicly identify you as the source without permission.

If you believe content used in the Services infringes your intellectual-property rights, contact info@getfoundup.ai with enough information for us to identify the work, the allegedly infringing material, your contact details, and the basis for your claim.

12. Connected Platforms and Third-Party Services

The Services may link to or integrate with third parties, including domain registrars, DNS and hosting providers, content delivery networks, analytics providers, search engines, AI services, social platforms, maps, booking systems, form providers, email services, payment providers, and customer-selected business tools.

Your use of a third-party service is governed by that party's terms, policies, pricing, availability, and technical limits. FoundUp does not control and is not responsible for an independent third-party service.

If you authorize us to access or configure a third-party account, you represent that you are entitled to do so and authorize us to perform the agreed actions. You remain responsible for the account, its subscription, its data, and the accuracy of the permissions you provide.

A third party may change, restrict, suspend, or discontinue an integration. We may recommend or implement a reasonable alternative, but resulting migration or additional work may require a revised scope and fee.

13. Privacy and Personal Information

Our Privacy Policy, available at https://getfoundup.ai/privacy, explains how FoundUp collects, uses, discloses, and protects personal information.

You must provide personal information to us only where you have an appropriate legal basis and notice. If a website built or managed through the Services collects personal information from visitors, the applicable customer is responsible for determining the lawful purpose, required notices, consent choices, retention, security, and responses to privacy requests. Where FoundUp processes that information on the customer's documented instructions, the parties will document their respective controller and processor or service-provider responsibilities in the applicable agreement or a separate data-processing agreement.

You may not use the Services to sell personal information, add people to marketing lists without required permission, or process personal information for unrelated or unlawful purposes.

14. Service Availability and Changes

We may add, change, suspend, or discontinue a feature or part of the Services. Where reasonably possible, we will provide notice if a material change adversely affects an active paid service.

The Services or a customer website may be unavailable because of maintenance, technical problems, third-party failures, internet or DNS issues, security incidents, legal requirements, customer action or inaction, or events outside our reasonable control. We do not guarantee uninterrupted or error-free operation.

Features identified as pilot, beta, preview, experimental, or similar are provided for evaluation, may change without notice, and may be less reliable than generally available features.

15. Suspension and Termination

You may stop using the Services or terminate an ongoing service according to the notice, minimum term, payment, handover, and cancellation provisions in the applicable agreement.

We may restrict, suspend, or terminate access; pause work or publication; remove content; or take other reasonable action if:

  • you violate these Terms, an applicable agreement, or the law;
  • your activity creates fraud, security, safety, legal, operational, or reputational risk;
  • a service provider, platform, rights holder, or authority requires action;
  • required authority, verification, content, or access is incomplete or inaccurate;
  • fees remain overdue after applicable notice; or
  • continuing to provide the Services is no longer commercially or technically feasible.

Where appropriate and permitted, we will provide notice and an opportunity to correct the issue. We may act immediately where necessary to prevent harm, secure the Services, protect third parties, or comply with law.

After termination, rights and obligations that by their nature should continue will survive, including provisions concerning ownership, content licenses needed for retained records, payments, confidentiality, privacy, disclaimers, liability, indemnity, disputes, and enforcement.

16. Disclaimers

Nothing in these Terms excludes warranties, guarantees, or rights that cannot lawfully be excluded.

To the fullest extent permitted by law, the Services are provided "as is" and "as available." FoundUp and its affiliates, officers, employees, agents, licensors, and service providers disclaim all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and course of dealing.

We do not warrant that the Services, a customer website, AI output, search or AI visibility, third-party services, or any content will be uninterrupted, secure, accurate, complete, lawful, suitable, accessible in every context, or free from harmful components. You use the Services and make business decisions at your own risk, subject to rights that cannot be waived.

17. Limitation of Liability

Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence where applicable law prohibits limitation.

To the fullest extent permitted by law, FoundUp and its affiliates, officers, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunities, search visibility, leads, customers, or anticipated savings, arising out of or related to the Services or these Terms, even if advised that such damages were possible.

To the fullest extent permitted by law, the total aggregate liability of FoundUp and the parties listed above for all claims arising out of or related to the Services or these Terms will not exceed the amounts you paid to FoundUp in the 12 months preceding the event giving rise to the claim.

The limitations in this section apply only to the extent enforceable in your jurisdiction. Some jurisdictions do not allow certain exclusions or limitations, so some of them may not apply to you.

18. Indemnity

To the fullest extent permitted by law, if you use the Services for business purposes, you will defend, indemnify, and hold harmless FoundUp and its affiliates, officers, employees, agents, licensors, and service providers from third-party claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable legal fees arising from:

  • your Customer Content, products, services, claims, business operations, or fulfillment;
  • your breach of these Terms or an applicable agreement;
  • your violation of law or another person's rights;
  • your unauthorized use of an account, domain, brand, content, data, or third-party service; or
  • your misuse of the Services.

This obligation does not apply to the extent a claim results from FoundUp's own breach, negligence, or willful misconduct, and it does not limit non-waivable consumer rights.

19. Governing Law and Disputes

Before filing a formal claim, you and FoundUp agree to make a good-faith effort to resolve the dispute informally. Send a written notice describing the dispute and requested resolution to info@getfoundup.ai. We will attempt to respond within 30 days.

These Terms and any non-contractual dispute arising from them are governed by the laws of Singapore, without regard to conflict-of-laws principles. Subject to any mandatory rights available to consumers, the courts of Singapore will have exclusive jurisdiction.

If you are a consumer, this section does not deprive you of protections or a forum that cannot be waived under the laws of your place of residence.

20. Changes to These Terms

We may update these Terms to reflect changes to the Services, our business, or applicable law. We will update the "Last updated" date and provide additional notice of material changes where required.

Changes apply from the effective date stated in the notice. If applicable law requires consent to a material change, we will request it. Otherwise, continued use after the effective date constitutes acceptance of the updated Terms. Changes will not retroactively alter completed paid work unless required by law or agreed by the affected parties.

21. General Terms

  • Entire agreement: These Terms, our Privacy Policy, and applicable accepted proposals, statements of work, orders, and incorporated policies form the entire agreement between you and FoundUp regarding the Services.
  • No waiver: Failure to enforce a provision is not a waiver of the right to enforce it later.
  • Severability: If a provision is held unenforceable, it will be modified to the minimum extent necessary or removed, and the remaining provisions will continue in effect.
  • Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law, subject to applicable law.
  • No third-party beneficiaries: These Terms do not create rights for anyone other than you and FoundUp, except where expressly stated.
  • Electronic communications: You agree to receive agreements, notices, invoices, receipts, and other communications electronically where permitted by law.
  • Language: These Terms are written in English. Any translation is provided for convenience, and the English version controls to the extent permitted by law.
